Gulf of Mexico Offshore Projects

The Company's initial Gulf of Mexico (GOM) assets were acquired from Pearl Exploration and Production Ltd. in early 2007 and include a 100% working interest in five offshore exploration blocks, farm-in rights to acquire a 25% working interest in a sixth offshore block, and all physical data, work products and files and records associated with these blocks. The five 100% working interest GOM offshore gas exploration blocks acquired from Pearl are: MU 736 (offshore Texas), SMI 164, WC 364, WC 263 and WC 346 (offshore Louisiana). The sixth offshore block, which the Company has the farm-in rights to acquire a 25% working interest, is WC 332 (offshore Louisiana). The focus is on high upside targets with low to moderate technical risk.

The Company was the successful bidder for 2 blocks on the Outer Continental Shelf in the Western Gulf lease sale held on August 22, 2007. The successful bids cover 2 blocks (#542 and #547) in the West Cameron offshore area.

The Company subsequently entered into a Farm-out Agreement for oil and gas exploration rights on South Marsh Island Block 165 ("SMI 165"), located in the Outer Continental Shelf, Gulf of Mexico. Upon the completion of its work commitment, Bayou Bend will earn 100 percent working interest in SMI Block 165 to depth drilled. This shallow water block is located in 233 feet of water and encompasses over 2,500 acres. The block hosts several sizeable prospects and leads. A drilling program is planned to have a well spud during the third quarter of 2007. The primary target is ponded turbidites in a salt-floored mini-basin at a prognosed depth of 8,200 feet. SMI Block 165 is located directly adjacent to SMI Block 164 which hosts similar targets on trend.

The Company was the successful bidder for 7 blocks on the Outer Continental Shelf in the Central Gulf lease sale held on October 3, 2007.

The successful bids cover 7 blocks in West Cameron (#244, #250 and #251), East Cameron (#116 and #143), Vermilion (#108) and Eugene Island (#59). This brings the total gross acreage held by the Company to 108,664 acres.
